These Terms and Conditions constitute a legally binding agreement between you and PAYVENDO SOLUTIONS PRIVATE LIMITED. By accessing or using any of our services, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
1Acceptance of Terms
By accessing or using PAYVENDO SOLUTIONS' platform, website (www.payvendo.in), mobile applications, or any associated services (collectively, the "Services"), you ("User," "Client," or "you") agree to be bound by these Terms and Conditions ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you must immediately discontinue use of our Services.
PAYVENDO SOLUTIONS PRIVATE LIMITED ("PayVendo," "we," "us," or "our") reserves the right to update or modify these Terms at any time without prior notice. Your continued use of the Services following the posting of changes constitutes your acceptance of such changes.
2Eligibility
To use our Services, you must:
- Be at least 18 years of age or the age of majority in your jurisdiction.
- Be a resident or registered business entity in India.
- Possess a valid PAN card and GST registration (if applicable).
- Have a valid and active bank account with a scheduled commercial bank in India.
- Not be prohibited from using payment services under applicable Indian law.
PayVendo reserves the right to reject any application without assigning reasons.
3Description of Services
PayVendo provides the following categories of services:
- BBPS (Bharat Bill Payment System): Integration with NPCI's BBPS to enable utility bill payments.
- Payout Services: Instant fund disbursements via IMPS, NEFT, RTGS, and UPI.
- Travel Booking: Bus, flight, and train ticket booking services.
- API Integration Services: RESTful API access and developer SDKs.
- Value-Added Services: FASTag recharge and gift card distribution.
4Account Registration & KYC
To access certain Services, you must complete our KYC process. You agree to:
- Provide accurate, complete, and current information.
- Maintain the security of your credentials (API keys, passwords, OTPs).
- Notify us immediately at help@payvendo.in of any unauthorized use.
We comply with PMLA and RBI's KYC/AML directions.
5Fees, Pricing & Payment
PayVendo charges transaction fees and setup fees as agreed in the Service Level Agreement (SLA). All prices are exclusive of GST (18%). Payment is typically due within 15 days of the invoice date. Late payments may attract penalty interest.
6Prohibited Activities
You agree not to use Services for illegal, fraudulent purposes, money laundering, or processing transactions for prohibited businesses (gambling, adult content, etc.). Violation may result in immediate account suspension and reporting to authorities.
7Limitation of Liability
PayVendo's total liability shall not exceed the fees paid by you in the three (3) months preceding the claim. We are not liable for indirect damages or service interruptions caused by third-party systems (banks, NPCI, etc.).
8Intellectual Property
All content, including software, APIs, and logos, are the exclusive intellectual property of PAYVENDO SOLUTIONS PRIVATE LIMITED. You are granted a limited, non-exclusive license for business purposes only.
9Governing Law
These Terms are governed by Indian law. Disputes shall be resolved through arbitration in Mumbai, Maharashtra, under the Arbitration and Conciliation Act, 1996.
10Termination
Either party may terminate the Services with 30 days' notice. PayVendo may terminate immediately for material breaches, insolvency, or regulatory directives.
